Notice of Motion – Bylaw Amendment

Please accept this as Notice of Motion for the following revision to the By-Laws of the High Level and District Chamber of Commerce at the February 22, 2022 Annual General Meeting.

  • Article V Section 8

Revision From;

Any six (6) or more members of the Board, lawfully met, shall be a quorum and a majority of such quorum may do all things within the powers of the Board.

Revision To;

A quorum for a Board of Director’s meeting shall be 50 per cent plus one of the total members of the Board of Directors, two (2) of which must be members of the Executive.  If a quorum is not present at a regular meeting of the Board of Director’s within thirty (30) minutes from the time appointed for a meeting, the meeting shall either be dissolved or, from time to time, the Board may fix the quorum necessary to transact business, provided however that at least two (2) members of the Executive Committee are present.

  • Article VI Section 4

Revision From;

The Board shall meet from time to time, at least once a month, as may be necessary to carry on the business of the Chamber.

Revision To;

The Board shall meet from time to time, at least Quarterly or as may be necessary to carry on the business of the Chamber. Committees may meet as required to carry on the business of the Chamber.
